By accessing or using ScepterIQ's AI customer engagement platform ("Service" or "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Service.

2. Service Description

ScepterIQ provides AI-powered software ("Platform") that enables small businesses to automate customer conversations, manage appointments, capture leads, and analyze customer interactions. The Platform includes:

• AI Conversational Agent Builder
• Appointment Scheduling Automation
• Lead Capture and Follow-Up
• Conversation Analytics and Transcriptions
• Customer Relationship Management (CRM) Integrations

3. Credits and Usage

Your subscription includes a fixed allotment of credits. Credits are platform consumption units that measure your AI agent's processing usage. Credits are consumed when your AI agent handles customer conversations.

• Credits are non-transferable and non-refundable once consumed
• Unused credits do not roll over to the next billing period
• Additional credits may be purchased as add-on packs
• Credit consumption varies based on conversation length and complexity

4. Conversation Transcription & Consent

ScepterIQ transcribes AI conversations into text. Some jurisdictions require all parties to consent to being recorded or transcribed. As the business owner, it is your sole responsibility to:

• Understand and comply with federal, state, and local consent laws
• Configure your AI assistant greeting to disclose transcription when required
• Consult with a qualified attorney if you are unsure of your obligations

ScepterIQ is a software tool, not a legal advisor. We provide technology; we do not provide legal advice. We are not liable for any legal consequences arising from your failure to comply with applicable consent laws.

5. AI Limitations & Liability Disclaimer

Our AI assistant may occasionally:

• Provide incorrect or incomplete information ("hallucinations")
• Make promises or commitments that you did not authorize
• Misunderstand customer requests or intent
• Fail to properly record information

ScepterIQ is not liable for any damages, lost business, or other consequences arising from incorrect information, unauthorized promises, or other errors made by the AI agent. You agree to review conversation logs regularly and to maintain oversight of AI-customer interactions.

6. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities under your account.

7. Pricing and Payment

Subscription fees are billed monthly in advance. Your subscription includes a fixed number of credits as specified in your plan.

• Additional credits may be purchased as add-on packs at any time
• You may cancel your subscription at any time
• Prices are subject to change with 30 days notice

9. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Harass, abuse, or harm others
• Send spam or unsolicited communications
• Impersonate others or misrepresent your affiliation
• Interfere with or disrupt the Service
• Use the AI to deceive customers about its nature when directly asked

10. Intellectual Property

The Service, including all software, AI models, and content, is owned by ScepterIQ and protected by intellectual property laws. You retain ownership of any content you provide through the Service.

11. Limitation of Liability

ScepterIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.

12. Termination

We may suspend or terminate your access to the Service if you violate these terms. Upon termination, your right to use the Service will cease immediately. You may export your data prior to termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new terms.
